TERMS OF SERVICE AGREEMENT

Effective Date: July 5, 2024

1. Introduction

This Terms of Service Agreement ("Agreement") governs the terms under which B and H Top of the Line Home Improvement LLC ("Company," "we," "us," or "our") provides construction and home improvement services ("Services") to you, the client ("Client," "you," or "your"). By entering into a service agreement, contract, or requesting services from B and H Top of the Line Home Improvement LLC, you agree to be bound by these terms and conditions.

2. Scope of Services

The Company provides a wide range of home improvement services, including but not limited to siding, framing, roofing, deck construction, drywall installation, tiling, flooring (vinyl), kitchen and bathroom installations, repairs, and related construction services.

The scope of the specific services to be provided will be outlined in a signed or verbal and recorded agreement between the Company and the Client before the commencement of work.

3. Estimates and Proposals

Estimates provided by the Company are based on the information available at the time of estimation and are subject to change based on material costs, project scope adjustments, and unforeseen conditions. Proposals are valid for 30 days unless otherwise stated.

4. Contract and Project Timeline

Once an agreement is signed between the Client and the Company, the terms and details of the project timeline, scope, and costs will be binding. All projects will be completed within a reasonable timeframe, subject to weather conditions, material availability, and other unforeseen delays. Any significant delays will be communicated to the Client promptly.

5. Payment Terms

Payment terms are as follows:

- A deposit of [50]% is due upon signing the contract (verbally or written).

- Progress payments will be due at certain stages of project completion, as outlined in the contract.

- Final payment is due upon completion of the project and satisfaction of the Client.

Late payments may be subject to interest charges of [15]% per month.

6. Change Orders

Any additional work or changes requested by the Client that are outside the original scope of work will require a change order. Change orders must be submitted in writing or recorded conversation and will incur additional charges, which will be discussed and agreed upon by both parties before proceeding.

7. Permits and Approvals

The Company is responsible for acquiring necessary building permits unless otherwise agreed upon in writing. The Client is responsible for obtaining approvals from homeowner associations (if applicable) and for providing access to the property for inspections and work.

8. Warranties and Guarantees

We guarantee that all work will be completed to industry standards and in compliance with local building codes. The Company offers a [30]-day warranty on workmanship. Materials used are covered by the manufacturer’s warranty. The warranty does not cover damage caused by misuse, neglect, or modifications made by other parties after the work is completed.

9. Liability and Insurance

The Client agrees that the Company is not responsible for any damages to the property or injuries that occur due to factors outside the Company’s control, such as natural disasters, structural issues not disclosed to the Company, or third-party actions.

All workers are independent contractors and must have their own liability insurance related to work.

10. Site Access and Safety

The Client agrees to provide access to the property as required for the project. The Client will ensure that the work area is free of hazards that could pose a danger to workers. The Client is responsible for securing pets, children, and other non-workers from the work area.

11. Project Completion and Inspection

Upon project completion, the Client will have the opportunity to inspect the work to ensure it meets the agreed-upon standards. If any issues arise, they must be reported to the Company in writing within [10] days of completion. Any corrections or fixes will be handled promptly.

12. Termination of Services

Either party may terminate the contract by providing written notice. If the Client terminates the contract without cause, the Client is responsible for paying the Company for all work completed up to the date of termination, as well as for any materials purchased or expenses incurred for the project.

The Company may terminate the agreement if the Client fails to make timely payments or comply with the terms of this Agreement.

13. Dispute Resolution

In the event of a dispute, both parties agree to attempt to resolve the matter through informal negotiations. If the dispute cannot be resolved informally, it will be submitted to mediation or arbitration in accordance with the rules of [insert local mediation/arbitration association].

14. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state of [Connecticut, United States of America], without regard to its conflict of law provisions.

15. Entire Agreement

This Agreement constitutes the entire understanding between the parties with respect to the subject matter and supersedes all prior discussions, agreements, or understandings of any kind.

16. Modifications

Any modifications to this Agreement must be in writing and signed by both parties.
